  • SRL (ordinary) – share capital up to 2.999,00 euros: starting from € 3.900,00 + law accessories (pension fund 4%, VAT 22%);

Comprehended services:

  • drafting of all required documents (power of attorneys for obtaining shareholders fiscal code, articles of association…..);
  • filing of all the documents to the Italian Registrar of Companies (CCIAA – Chamber of Commerce);
  • all the expenses such as notary fees (public deed), rights and stamps;
  • obtaining of a VAT code for the company;
  • obtaining the law mandatory Certified Electronic mail address (PEC) and the filing of it to the Authorities.

 

TIMING:

Setting up your company will take, for notary public deed and VAT code, 7/10 working days from the receiving of all necessary documents.

WHAT TYPE OF COMPANY?

LIMITED LIABILITY COMPANY (Società a responsabilità limitata – SRL)

In this kind of company shareholders have limited liability to the extent of their contribution. The capital is divided into shares and can’t be listed to the stock exchange market.

CORPORATION COMPANY (Società per Azioni – SPA)

This type of company is mainly designed for larger businesses. Even in this kind of companies stockholders (or the sole stockholder) have limited liability. They have to provide a minimum capital of 50.000 €.

LIMITED PARTNERSHIP (Società in Accomandita Semplice – SAS)

In this type of company at least one partner has to be limited, with limited liability to the extent of his contribution and one partner is general, with full liability for the company’s obligations.

GENERAL PARTNERSHIP (Società in Nome Collettivo – SNC)

Partnerships require at least two individuals. No minimum capital is required and all members are considered general, with full liability and management responsibility.
